1. Scope and Acceptance

These Terms & Conditions ("Terms") govern your use of the website https://licenpia.com and the purchase of products offered by SOFTENZO LTD, trading as Licenpia ("we", "us", "our"). By accessing our website, creating an account, or placing an order, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use our website or services.

2. Definitions

  • "Digital Product" — A software license key, activation code, or product key delivered electronically
  • "License Key" — A unique alphanumeric code that activates or unlocks software according to the publisher's terms
  • "Customer" / "You" — Any natural or legal person who accesses our website or purchases products
  • "Order" — A completed purchase transaction on our platform
  • "Publisher" — The software company that created the software (e.g., Microsoft Corporation)

3. Account Registration

You may browse our website without an account. To place an order, you may create an account or check out as a guest. When creating an account, you must:

  • Provide accurate and complete information
  • Maintain the confidentiality of your login credentials
  • Notify us immediately of any unauthorised access to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Products and Digital Delivery

Licenpia is a digital-only store. We sell genuine software license keys for products such as operating systems, productivity suites, security software, and other digital tools. Our products are:

  • 100% genuine license keys sourced from authorised channels
  • Delivered digitally — no physical items are shipped
  • Accompanied by activation instructions and, where applicable, download links

5. Granting of License Rights

By purchasing a product, you acquire a license key that grants the right to use the associated software in accordance with the publisher's End User License Agreement (EULA). We act as an authorised reseller of digital licenses.

The license is:

  • Granted for personal or commercial use as specified by the product type
  • Non-transferable unless expressly permitted by the publisher's terms
  • Valid for the number of devices or users specified in the product description

Intellectual property rights in the software remain with the publisher. We do not grant any ownership rights over the software itself.

6. Order Process and Contract Formation

A binding purchase contract is formed when:

  1. You add products to your cart and proceed to checkout
  2. You provide your billing information and select a payment method
  3. You confirm and submit your order
  4. We send you an order confirmation email containing your license key(s)

The order confirmation email constitutes our acceptance of your offer. We reserve the right to refuse or cancel orders in cases of suspected fraud, pricing errors, or product unavailability.

7. Prices and Payment

  • All prices are displayed in the currency selected on the website and include applicable taxes where required
  • Payments are processed securely through Stripe. We accept Visa, Mastercard, PayPal, Apple Pay, and Google Pay
  • Your order will not be processed until payment is successfully received
  • Prices are subject to change without notice, but confirmed orders are honoured at the purchase price

Payment reversal: If a payment is reversed, charged back, or disputed without valid cause and without first contacting our support team, we reserve the right to suspend your account, disable delivered license keys, and recover any losses including reasonable administrative and collection costs.

8. Delivery Terms

All products are delivered digitally:

  • Method: License key and activation instructions are sent to your email and displayed in your account dashboard
  • Timeframe: Delivery is instant in most cases, typically within seconds of payment confirmation
  • Manual verification: In rare cases, orders may require manual verification, which can take up to 24 hours
  • No physical shipment: As a 100% digital store, we do not ship physical products. There are no shipping costs or delivery charges

If you do not receive your order within 30 minutes, please check your spam/junk folder and then contact our support team.

9. Right of Withdrawal / Cancellation (EU and UK Consumers)

Under EU consumer protection law (Directive 2011/83/EU) and the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, consumers have the right to withdraw from a distance contract within 14 days without giving any reason.

Exception for digital content: In accordance with Article 16(m) of the Consumer Rights Directive, the right of withdrawal does not apply to contracts for the supply of digital content which is not supplied on a tangible medium if the performance has begun with the consumer's prior express consent and their acknowledgement that they thereby lose their right of withdrawal.

At checkout, you are required to:

  1. Give your express prior consent to the immediate delivery of digital content (your license key)
  2. Acknowledge that you lose your right of withdrawal once the license key has been delivered to you

By ticking the consent checkbox and completing your purchase, you fulfil both conditions. Your order confirmation email serves as confirmation on a durable medium as required by Article 8(7) of the Directive.

Voluntary return window: Despite the above legal exception, we voluntarily allow cancellation and full refund within 14 days of purchase for license keys that have not been activated or redeemed. See our Refund & Replacement Policy for details.

10. Returns and Refunds

Due to the digital nature of our products, specific conditions apply to refunds and returns. Please refer to our Refund & Replacement Policy for full details on eligibility, process, and timelines.

11. Warranty and Liability

  • We guarantee that all license keys are genuine and valid at the time of delivery
  • If a key is found to be invalid or non-functional, we will provide a replacement or full refund
  • We are not responsible for software compatibility issues, system requirements not met by the customer, or publisher policy changes that occur after purchase
  • Our total liability shall not exceed the purchase price of the product in question
  • We are not liable for indirect, incidental, or consequential damages arising from the use of our products or services

Statutory rights preserved: Nothing in this section excludes or limits our liability for (i) death or personal injury caused by our negligence, (ii) fraud or fraudulent misrepresentation, or (iii) any breach of your statutory consumer rights that cannot be excluded or limited by law. The limitations above apply only to the extent permitted by the laws of your country of residence. See Section 19 for region-specific consumer rights.

12. Customer Obligations

As a customer, you agree to:

  • Activate promptly: Activate your license key within 30 days of delivery. Keys not activated within this period are considered accepted, and no refund or replacement claims based on functionality can be made after this deadline
  • Report issues promptly: Report any defects or issues with your license key within 14 days of discovery. Failure to report a problem within a reasonable time may affect your right to a remedy
  • Store your license key securely and not share it publicly
  • Use the software in accordance with the publisher's EULA
  • Not redistribute, resell, or transfer license keys without authorisation
  • Provide accurate information when creating an account or placing an order

13. Intellectual Property

All content on the Licenpia website, including text, graphics, logos, and design, is the property of SOFTENZO LTD or its licensors and is protected by copyright and intellectual property laws. The software to which our license keys relate is the intellectual property of the respective publishers.

14. Prohibited Use

You may not:

  • Use our website or services for any unlawful or fraudulent purpose
  • Resell, redistribute, or publicly share license keys purchased from us
  • Purchase license keys in bulk for the purpose of resale
  • Attempt to bypass, disable, or interfere with security features of our website
  • Use automated systems (bots, scrapers) to access our website or services
  • Create multiple accounts to abuse promotions, discounts, or referral programs

Violation of these restrictions may result in immediate account termination and legal action.

15. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and protect your personal data.

16. Governing Law and Dispute Resolution

We encourage you to contact our support team first to resolve any dispute informally. Most issues can be resolved quickly through our customer support channels.

If a dispute cannot be resolved informally, the following applies based on your location:

  • EU and UK consumers: These Terms are governed by the laws of your country of habitual residence. You may bring proceedings in the courts of your country of habitual residence. Nothing in these Terms affects your rights as a consumer under the mandatory consumer protection laws of your country
  • Australian consumers: These Terms are governed by the laws of the state or territory of Australia in which you reside. Nothing in these Terms excludes, restricts, or modifies rights or remedies you have under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement
  • All other customers: These Terms are governed by the laws of England and Wales, and any disputes shall be subject to the jurisdiction of the courts of England and Wales

EU consumers may also use the European Online Dispute Resolution (ODR) platform: https://ec.europa.eu/consumers/odr.

Regardless of your location, nothing in these Terms excludes or limits any mandatory consumer protection rights that apply to you under the laws of your country of residence.

17. Force Majeure

We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or disruptions to internet infrastructure.

18. Modifications to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Material changes will be communicated via email or a prominent notice on our website. Your continued use of our website after changes are posted constitutes acceptance of the revised Terms.

19. Regional Consumer Rights

Depending on where you live, you may have additional statutory rights that cannot be excluded by contract. This section summarises key protections; however, it is not an exhaustive statement of your rights. If there is any conflict between this section and the mandatory consumer protection laws of your country, the applicable law will prevail.

Australia and New Zealand

If you are an Australian consumer, our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). You are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Nothing in these Terms purports to modify or exclude the consumer guarantees under the Australian Consumer Law.

If you are a New Zealand consumer, similar protections apply under the Consumer Guarantees Act 1993. Nothing in these Terms excludes or limits rights conferred by the Consumer Guarantees Act 1993.

United Kingdom

If you are a consumer in the United Kingdom, the Consumer Rights Act 2015 provides that digital content must be of satisfactory quality, fit for a particular purpose, and as described. If digital content does not meet these standards, you are entitled to a repair or replacement, and if that is not possible or does not fix the issue, you may be entitled to a price reduction. Nothing in these Terms affects these statutory rights.

European Union

If you are a consumer in the EU, you benefit from the mandatory provisions of the consumer protection laws of your country of habitual residence, including rights under EU Directive 2011/83/EU (Consumer Rights Directive) and EU Directive 2019/771 (Sale of Goods Directive, as applied to digital content). Your right of withdrawal and our digital content waiver are described in Section 9 above.

United States

If you are a consumer in the United States, you may have rights under federal and state consumer protection laws, including the Federal Trade Commission Act and relevant state statutes. All material terms, pricing, and refund conditions are disclosed clearly on our website before purchase. Our refund policy is accessible from every page via the footer, and refund terms are presented during checkout. Residents of California have additional rights described in our Privacy Policy (CCPA section).

United Arab Emirates and the Middle East

If you are located in the UAE, your consumer rights are protected under Federal Law No. 15 of 2020 (Consumer Protection) and Federal Decree-Law No. 46 of 2021 (E-Commerce). You have the right to receive accurate information about our products before purchase, and to return products that do not match their description. Our digital products are delivered in accordance with the description and specifications shown on our website. Consumer protection laws in Saudi Arabia, Qatar, and other GCC countries may provide similar rights.

20. Severability and Final Provisions

  • If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect
  • These Terms, together with our Privacy Policy, Refund Policy, and Cookie Policy, constitute the entire agreement between you and SOFTENZO LTD regarding the use of our website and services
  • No waiver of any term shall be deemed a further or continuing waiver of such term or any other term
